Kailash Capital Research, LLC (“KCR”), an SEC-registered investment adviser, has entered into a research distribution agreement with Kailash Concepts, LLC (“Concepts”) to permit Concepts to obtain and distribute investment research prepared by KCR (the “KCR Research”) and to use “Kailash” in Concepts’ legal name. Concepts (a) is not affiliated with KCR or KCR’s SEC-registered asset management affiliate L2 Asset Management, LLC (“L2”) (and, together with KCR, the “Advisers”), (b) is not involved in the preparation of the KCR Research by KCR or the provision of asset management services by L2, and (c) is not registered as an investment adviser.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE AND UNDERSTAND THAT CONCEPTS AND KCR WILL NOT BE LIABLE FOR: ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, TREBLE OR OTHER MULTIPLES OF DAMAGES, AND/OR EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE KCR RESEARCH. NEITHER CONCEPTS NOR KCR IS RESPONSIBLE FOR ANY LOST PROFITS, LOST REVENUES, LOST BUSINESS OPPORTUNITIES, DIMINUTION IN VALUE, INCLUDING ANY ALLEGED LOSS OR DIMINUTION IN VALUE OF PERSONAL INFORMATION, OR ANY OTHER LOSSES (COLLECTIVELY, “LOSSES”) ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR ACCESS TO THE KCR RESEARCH. 2. Indemnity
If you are using the KCR Research on behalf of a business or other entity, or if you are using the KCR Research for commercial purposes, you and such entity will hold harmless and indemnify Concepts and KCR from any suit, claim or action arising from or related to the use of the KCR Research, including any liability or expense arising from claims (including claims for negligence), losses, damages, suits, judgments, litigation costs, and attorneys’ fees.
